Terms and Conditions

By generating an API key, accessing, or utilizing the NexusForm4 API, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, you must not use the Service. You consent to receive communications electronically and agree that electronic acceptances are legally binding.

Users must be at least 18 years old and possess the legal authority to form binding contracts. You must provide accurate registration and billing information. API keys are issued to individual users or registered entities and may not be shared, transferred, or exposed in client-side code without appropriate backend obfuscation.

NexusForm4 operates a data pipeline that parses, standardizes, and delivers data sourced from publicly accessible Regulatory Filings.

4.1 Data Sourcing and Latency. While NexusForm4 strives to ensure high transmission fidelity, accuracy, and low latency, the data is ultimately sourced from third-party filers and government databases. We do not guarantee the absolute real-time delivery of filings, as downstream delays may occur.

4.2 Parsing Infrastructure. The Service utilizes proprietary parsing layers to extract data from raw filings. We reserve the right to modify, update, or deprecate specific API endpoints, response schemas, or parsing methodologies with reasonable advance notice.

4.3 Public Data Classification. You acknowledge that the underlying data provided by the Service is public information and NexusForm4 acts solely as a conduit and standardization layer for this data.

NexusForm4 is a technology and data routing platform, not a registered broker-dealer, investment adviser, or financial analyst.

• All data delivered by the Service is for informational, research, or application-development purposes only.
• The Service does not constitute financial, investment, legal, or trading advice.
• Past insider activity does not guarantee future market performance. You are solely responsible for verifying data before making any transactional or investment decision.

6.1 Subscription Tiers and Quotas. Your access to the API is governed by the rate limits and monthly request quotas associated with your selected subscription tier.

6.2 Billing. Fees are billed in advance on a recurring basis and renew automatically until canceled. Overages beyond your tier's quota may result in temporary throttling or additional charges, as specified at the time of purchase.

6.3 Refunds. Fees are non-refundable except where required by applicable law.

6.4 Payment Processing. All payments are processed exclusively through our designated third-party payment processor (Stripe, RapidAPI). NexusForm4 does not store full payment card data on its servers.

7.1 Permitted Use and License. NexusForm4 grants you a non-exclusive, non-transferable, revocable license to access the data provided via the Service solely for your internal business, personal research, or application development purposes, subject to your subscription limits.

7.2 No Redistribution. You may display the data within your own applications or research, but you may not share, redistribute, sell, sub-license, or publicly lease the raw NexusForm4 data feeds to third parties without our prior written consent or an applicable Enterprise/Redistribution license.

7.3 Usage Telemetry Collection. We collect and analyze Usage Telemetry (e.g., request volumes, endpoint usage, error logs) to monitor infrastructure health, enforce rate limits, and improve the API. This data does not contain your proprietary application data and is owned exclusively by NexusForm4.

You agree not to:

• Reverse engineer, decompile, or attempt to derive the source code or underlying parsing infrastructure of the Service.
• Circumvent rate limits, caching layers, or gateway authentication mechanisms.
• Deliberately execute high-frequency burst queries designed to degrade infrastructure performance or launch Denial of Service (DoS) attacks.
• Use the Service for any illegal activities, including but not limited to algorithmic trading based on unlawfully obtained insider information not yet made public by the SEC.
• Expose your API keys in public repositories (e.g., GitHub) or client-side applications where they can be easily scraped by unauthorized third parties.

NexusForm4 employs robust security controls, including encryption in transit (TLS 1.3), API gateway authentication, and strict rate limiting. You are responsible for maintaining the confidentiality of your API keys. If you suspect your API key has been compromised, you must immediately revoke it via your account dashboard and notify our support team.

NexusForm4 retains all rights, title, and interest in the Service, including the API architecture, parsing algorithms, endpoint schemas, documentation, and database infrastructure. Nothing in these Terms grants you any rights to NexusForm4's proprietary technology beyond the limited access license described herein.

11.1 Disclaimer of Warranties. The data delivered by the Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. NexusForm4 disclaims any warranty of accuracy, completeness, or fitness for a particular trading purpose.

11.2 Limitation of Liability. NexusForm4 and its affiliates shall not be liable for any financial losses, missed trading opportunities, loss of profits, system downtime, or indirect damages resulting from reliance on the data provided, or from API outages. Total aggregate liability shall not exceed the greater of the fees paid by you in the twelve months preceding the claim or one hundred dollars ($100).

You agree to indemnify, defend, and hold harmless NexusForm4, its officers, directors, and employees from any third-party claims arising from: your breach of these Terms; the applications or platforms you build utilizing our API; any financial or investment decisions made by you or your end-users based on the data; or your violation of any applicable law.

These Terms are governed by the laws of the applicable jurisdiction (e.g., Commonwealth of Massachusetts) without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the API shall be resolved by final and binding arbitration administered by the American Arbitration Association. You waive any right to participate in class, collective, or consolidated actions.

NexusForm4 reserves the right to suspend or terminate API keys or access tokens immediately, without notice, if a user is found to be in violation of these Terms, incurs severe billing arrearages, or engages in activity that threatens system security and database stability (such as deliberate rate limit circumvention). Upon termination, your license to access the API ceases immediately.

NexusForm4 may update these Terms or modify API functionality, schemas, and endpoints as our services evolve. We will provide notice of material changes by updating the "Last Updated" date and, for significant technical deprecations or pricing changes, by sending an email notice to registered developers. Continued use of the API after the effective date of any update constitutes acceptance of the revised Terms.

Force Majeure. NexusForm4 is not liable for service interruptions caused by third-party upstream database failures (e.g., SEC EDGAR downtime), infrastructure outages (e.g., AWS/GCP outages), or events beyond our reasonable control.

Entire Agreement. These Terms constitute the entire agreement between you and NexusForm4 regarding the API.

Severability. If any provision is deemed unenforceable, the remaining provisions continue in full force.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger or sale of assets.
